can't create WIFI adhoc n/w b/n two XP lappys

Me and my frnd have laps, both running on XP.
The first one is dell 1420, and other one is HCL AXOP 2802
The config of both system are as follows
1)DELL 1420
Intel wireless device,XP professional SP3
broadcom modem device
2)HCL
raillink wireless device,XP professional SP2
conexant universal modem device

we tried to create an adhoc network on dell, which was created succesfully. but it was not detected by the HCL wireless n/w search wizard.
