installing winxp

I have apecular probblem iam not able to install winxp in to my system when ever i try to install it my system restarts. I have this problem only with 2000 xp but iam able to install win 98. I have ram but it was in vain.

my system configuration is

AMD Athalon xp 2400+
256 mb ram
A7V333
80Gb HDD

hav u checked the win xp cd.is it working fine on other systems.
can u plz elaborate ur problem .i mean plz tell at which point during xp installation ur sytem reboots.

boot from cd and try to install it..

download whole cd to harddisk in a folder. try to install from that folder.
if not successful, boot from bootable floopy or disk, go to that folder,and run setup.exe
